Passenger road transport in Orissa was served by the private sector, and two government organizations: the Orissa State Road Transport Corporation (OSRTC), and the Orissa Road Transport (ORT) Company. Periodical reviews revealed that both the corporations were performing poorly since 1974-75, incurring financial losses. Several political functionaries had given thought to improving the situation, by considering merger of the two corporations. This case primarily deals with the issues pertaining to the government level decision making process of acquisition of ORT Co. by OSRTC, spread over twelve years until final acquisition in 1990. The case also tries to focus attention on the impact of the acquisition and how best to proceed further.en
